Terms of Sale

  1. These general terms and conditions apply to all services provided by ADM vzw.
  2. The client undertakes to deposit the agreed prices in euros, stated on the invoice, into the KBC account number 409-6581971-80 indicated therein; otherwise, ADM vzw cannot guarantee the services.
  3. The invoices are payable 20 (twenty) days from the invoice date. In the event of late payment, default interest equal to the statutory interest plus 2% is due without prior notice of default. Furthermore, a fixed compensation amounting to 10% of the invoice amount, with a minimum of € 50.00, is due by operation of law and without prior notice of default as damages.
  4. If the client intends to have a purchase order number (PO number) included on the invoice, they must provide this number within two weeks of requesting the PO number. If the PO number is not provided in a timely manner, invoicing will still be done without the PO number, without affecting the payment terms and conditions.
  5. Any delay in the execution, or changes in the offer or program of the services provided by ADM vzw, shall not give rise to the payment of compensation.
  6. The membership fee applies for a period of 12 months ("financial year"), commencing on the date of payment of the invoice. The amount of the fee depends on the client's type of company and/or the number of employees and is agreed upon in the formal registration form signed by an authorized representative of the client. The number of employees is determined by taking into account the data stated in the most recent annual report filed with the National Bank of Belgium. If there is a change in price category (number of employees), this amount may be adjusted.
  7. Membership renewal takes place automatically at the beginning of each new "working year", unless the member cancels the membership in writing no later than 30 days before the start of the new working year.
  8. Registrations for paid activities can be cancelled free of charge up to 10 working days before the start of the activity. In the event of cancellation after this date or absence from the activity, the full participation fee remains payable. However, a substitute may be designated.
  9. By signing the membership agreement, the member commits to entering into the written IP Agreement (IP Transfer Agreement) proposed by ADM and to transfer ownership of all intellectual property rights of the member arising from the work performed within the ADM program to which he/she has joined, to ADM. The member acknowledges and accepts that all his/her intellectual property rights shall be governed exclusively by this IP Agreement, unless otherwise agreed in writing between the parties.
  10. The liability of ADM vzw is excluded for any loss or damage, directly or indirectly caused by or resulting from incorrect or negligent performance of the services, unless the client proves that this is due to gross negligence on the part of ADM vzw. In that case, the liability of ADM vzw is limited to €2,500.00.
  11. Both parties and their insurers grant a mutual waiver of recourse against each other and their insurers for all damage and losses (including property damage and losses, bodily injury and death of their employees, and indirect damage).
  12. The Client undertakes to indemnify ADM vzw against all possible damages and all possible claims from third parties. If the services are organized on the Client's own premises, the Client undertakes to adequately insure their liability in this regard with an insurance company recognized by ADM vzw and to provide proof thereof upon first request.
  13. Any complaint or claim against ADM vzw must be received by registered mail within a period of 8 (eight) calendar days following the actual performance of the services – otherwise the right to claim shall lapse by operation of law.
  14. Belgian law applies to all services performed by ADM vzw.
  15. All possible disputes between the client and/or its representatives and ADM vzw shall be settled amicably between the parties. In the absence of an amicable settlement, the dispute shall be submitted to the courts of Antwerp, which shall have exclusive jurisdiction.
